Coach Agreement

This Coach Agreement (the "Agreement") is between MUZE LLC, doing business as Muse ("Muse," "we," "us"), a company registered in Nevada at 318 North Carson Street, Carson City, NV 89701, and you, a coach offering services through https://musecoaching.dev and the Muse app (the "Services").
It adds to our Terms and Conditions, Privacy Notice and Community Guidelines. If they conflict on coaching matters, this Agreement wins. By applying to coach or going live, you accept it.
1. Our relationship
You are an independent contractor, not an employee, partner or agent of Muse. You decide your rates, hours, methods and which clients you work with. There is no exclusivity: you may coach elsewhere too.
You are responsible for your own taxes, insurance, licenses and business expenses. Muse doesn't withhold taxes from your earnings.
2. Applying and vetting
Every coach applies and has a call with our team before going live. We may ask for proof of identity, experience, certifications or, for licensed fields such as therapy or medical nutrition, a valid license. We may decline or remove any application at our discretion.
What you tell us and show on your profile must be true and current. Coaching is not therapy, medical, legal or financial advice; unless you hold the relevant license and disclose it, don't present your services as such, and refer clients to a licensed professional when they need one.
3. Plans and fees
- Basic: $5.99 a month or $39.99 a year. Muse keeps a 10% platform fee on your sales; you keep 90%.
- Premium: $19.99 a month or $119 a year. No platform fee; you keep 100% of your sales.
- Card processing: 2.9% of the amount paid for each sale (sessions, tips, paid questions, communities and content) is taken from your earnings. Clients' wallet top-ups are not charged a fee.
You choose a plan before going live. Plans renew automatically until cancelled. Upgrades take effect at once and are charged the prorated difference for the rest of the period; downgrades and changes between monthly and yearly take effect at renewal. Plan fees are charged to your card, or deducted from your payouts if you have no card on file. We'll give you at least 30 days' notice before changing plan prices or fees.
4. Payouts and taxes
Payouts are made through Stripe Connect to the account you connect. Earnings from completed sessions become payable after the session, and are paid every Friday for earnings that became payable by the previous Sunday.
You may request an instant payout of your available balance to an eligible debit card for a fee of 1% (at least $0.50). Instant payouts need two-step verification.
Stripe issues your year-end tax forms (such as Form 1099-NEC or 1099-K) where required, available in your Stripe Express dashboard. Muse provides monthly statements of your earnings and fees.
Refunds owed to a client after you were paid (for example, a disputed session or an unused prepaid session) are deducted from your next payout. We may hold a payout while we review a dispute, suspected fraud or a breach of this Agreement.
5. Bookings, cancellations and no-shows
- You choose instant booking or approval for each request. A request you don't answer within 24 hours (or by its start time, if sooner) expires and the client's payment hold is released.
- The client's payment is held when they book and charged when the session starts.
- You choose a free cancellation window of 12, 24 or 48 hours (24 by default). Clients who cancel inside it pay 50% of the session price; clients who miss a session pay your no-show fee (100% by default). Muse collects these for you.
- If you cancel or miss a session, the client is refunded in full. Repeated coach cancellations or no-shows may limit or end your account.
- Sessions you sold as prepaid packages before packages were retired must still be honoured until used or refunded.
6. Client rank perks
Clients who use Muse's optional game may earn rank discounts on sessions. Muse pays for these discounts: you are paid on the full session price, and discounts never reduce your earnings.
7. Payments stay on Muse
For clients you meet or serve through Muse, all payments must go through Muse. Don't ask for or accept payment off the platform, share payment links, or steer clients away from Muse to avoid fees. Doing so may result in removal and forfeiture of fees owed.
8. Client privacy and data
You'll see personal information about your clients: messages, notes, goals and, when they choose to share them, their skill scores. Use it only to coach that client, keep it confidential, and never sell, publish or reuse it. Don't record sessions or take notes about clients outside the tools Muse provides without the client's consent.
Muse AI notes. Muse AI may take notes on a call only after both you and the client agree at the start of the call, and either of you can turn it off at any time, which deletes what was captured. Recaps, facts, goals and homework it adds are marked as made by Muse AI; review them and correct or delete anything wrong. Details flagged as sensitive (such as health, sexuality, mental health, finances or legal matters) stay in your private notes and must not be shared.
When a client relationship ends or a client asks, delete any copies of their information you hold outside Muse, unless the law requires you to keep it.
9. Conduct
- Treat clients with respect and keep professional boundaries. No romantic or sexual relationships with clients.
- Don't promise guaranteed results, make medical claims, or misrepresent your qualifications.
- Follow the Community Guidelines in communities you host or join, and moderate your own communities fairly.
- Only Premium coaches may message people who haven't booked with them, and only through message requests. Don't spam or pressure people.
10. Your content and reviews
You own the content you create (profile, posts, courses, downloads). You give Muse a non-exclusive, worldwide, royalty-free license to host, display and promote it on and around the Services while it's on Muse. You confirm you have the rights to everything you upload.
Clients may review sessions. You may reply once to each review. Don't offer incentives for reviews or post reviews of yourself. We may hide reviews that break our rules, but not because they're negative.
11. Ending this Agreement
You can stop coaching and close your account at any time; you can export your clients, session history and content first. Booked sessions should be completed or cancelled with a refund.
We may suspend or end your account for a breach of this Agreement, risk to clients, fraud, or repeated complaints. Earnings for sessions you delivered will be paid, less refunds, chargebacks and fees owed.
12. Responsibility and liability
You are responsible for the coaching you provide and agree to indemnify Muse against claims arising from your services or your breach of this Agreement. Muse's liability to you is limited as set out in the Terms and Conditions.
We may update this Agreement; we'll notify you at least 30 days before material changes take effect. Continuing to coach after that means you accept the update. Nevada law governs this Agreement.
